These terms and conditions ("Terms and Conditions") apply to The Plumbers' Club (the "Promotion"), a loyalty programme for trade customers of Graham, a trading name for Jewson Limited (company number 00348407) whose registered office is at Saint-Gobain House, Coventry CV3 2TT ("Graham"). Please read these Terms and Conditions carefully and make sure that you understand them before registering for the Promotion. By completing the online registration form for the Promotion at www.theplumbersclub.co.uk ("Website"), and by participating in the Promotion, the Participant (as defined below) and any representative of the Participant ("Representative"), agree to be bound by the Terms and Conditions set out below and the Terms of Use, Privacy Policy, Acceptable Use Policy and Cookie Policy applicable to the Website.


1. The Promotion

1.1 The Promotion may be operated on behalf of Graham by certain third party suppliers engaged by Graham for that purpose.

1.2 The Promotion shall continue until terminated by Graham in accordance with clause 7.

1.3 The Promotion is only open to Graham Trade Account holders and Trade Account holders of other brands of Jewson Limited or Saint-Gobain Building Distribution Limited ("SGBD") who are invited by Graham to register for the Promotion (the "Participant(s)"). The Promotion shall only apply to products purchased from Graham by the Participants.

1.4 Unless Graham expressly agrees otherwise in writing, the Promotion excludes and is not available to:

1.4.1 any and all other Trade Account holders of other brands of Jewson Limited or Saint-Gobain Building Distribution Limited;

1.4.2 any and all current and previous employees of Graham, Jewson Limited or Saint-Gobain Building Distribution Limited, or the immediate families of such employees, or public sector or housing association employees;

1.4.3 any and all employees of any agencies or event suppliers or their families or agents or any other person officially connected with the Promotion; and

1.4.4 any customers that currently receive, or are connected to a customer that currently receives, a rebate from Graham, any other brands of Jewson Limited or SGBD.

1.5 In order to participate in the Promotion, Participants must first register for the Promotion by completing the online registration form on the Website. When completing the registration form all Participants must provide a valid email address that is registered to the Participant. Graham may require a new online registration form to be completed for each Promotion Period (as defined below in clause 2). Participants will not be able to redeem any Plumbers' Coins (as defined below in clause 3) until they have completed the online registration form in full. A validation email for the Participant's account will be sent to each Participant, the participant will need to click on the link within this email to complete the registration process. The Participant will then need to choose a password to access the Participant's account. Unless Graham expressly determines otherwise, only one set of log-in details will be provided per Participant. Participants will be automatically enrolled for new editions of the Promotion if they are still participating in the Promotion at the end of the expiring Promotion Period (as defined below).

1.6 No third party or joint registrations will be accepted, and only one registration per Participant will be accepted. Connected companies shall be deemed to be the same as the Participant to which they are connected, and deemed duplicate accounts dealt with accordingly. Graham reserves the right to refuse, merge or close additional Plumbers' Club Accounts (as per clause 12.15 ) at any time.

1.7 Unless Graham expressly agrees otherwise in writing, the primary methods of communication in connection with the Promotion shall be via the website, emails and/or text messages.


2. Participants

2.1 If the Participant is acting as an individual or a partnership the Participant must be resident in the UK and remain resident throughout the relevant calendar year during which the Promotion takes place ("Promotion Period") and be aged 18 or over at the date of the commencement of the Promotion.

2.2 If the Participant is a limited company or another entity with separate legal identity the Representative must:

2.2.1 be aged 18 or over;

2.2.2 confirm, by completing the online registration form on the Website, that he or she:

2.2.2.1 has the authority to bind the Participant on whose behalf the Representative completes the online registration (i.e. the Graham Trade Account holder); and

2.2.2.2 has made the Participant aware of the Promotion and has its consent to enter into the Promotion on its behalf.

2.3 It is a condition of entry that all information given at registration is true, current and full. It is the Participant's obligation to update (or ensure that the Representative updates) any information submitted upon registration and to ensure that the Participant's details (including its customer account details) remain accurate and up to date. Unless Graham expressly agrees otherwise in writing, all Incentives (as defined below) and communications that need to be sent to the Participant will be sent to the address held in Graham's central customer account database. Graham will not be liable for any breach of the Terms and Conditions arising from the Participant's failure to update the information submitted. If the Participant (or the Representative) does contact Graham (or its agents) to update any details the Participant (or the Representative) may be required to go in to their Graham branch to make changes to their customer account details, unless changes can be made remotely by Graham, in which case they will be asked security questions before amendments to the Participant's account ("Plumbers' Club Account") are made.

2.4 If the Participant (or the Representative) fails to provide all of the requested and required information, or subsequently requests Graham to delete from its records any such information, the Participant may be disqualified and not permitted to participate in the Promotion. Graham is not responsible for incomplete, unclear, incomprehensible or distorted entries. Such entries will be void.

2.5 It is the Participant's responsibility to keep secure any information that might identify the Participant and/or the Representative and allow access to the Participant's Plumbers' Club Account. Neither Graham nor its agents shall be responsible or liable in any way if a person is able to redeem or spend any Plumbers' Coins (as defined below) as a result of the Participant and/or the Representative not taking proper care of the Participant's Plumbers' Club Account details. If the Participant and/or the Representative loses or accidentally reveals its log-in details it is their responsibility to change their password via the Website. If they are unable to do this they should immediately contact the Promotion Administrator by telephone on 01509 410732 or by email at info@theplumbersclub.co.uk.


3. Collecting Plumbers' Coins and Incentives

3.1 Graham shall award Participants with electronic reward points ("Plumbers' Coins") to be utilised by Participants to purchase rewards, benefits, Graham vouchers, account credits and/or Partner Deals ("Incentives") in connection with the Promotion.

3.2 The number of Plumbers' Coins awarded shall depend on the total value of valid orders (excluding VAT) for qualifying products placed with Graham by the Participant during the relevant Promotion Period ("Total Spend") and shall be awarded in accordance with the policy set out in clause 12 below ("Plumbers' Coins Policy").

3.3The Total Spend by the Participant for the previous calendar year shall also be relevant for the basis on which Plumbers' Coins are calculated and awarded to the Participant. However, for the avoidance of doubt, Plumbers' Coins will only be awarded in relation to valid orders (excluding VAT) for qualifying products placed on or after the start of the calendar month in which the Participant was successfully registered as a participant in the Promotion. No backdating will be permitted.

3.4 Graham (and/or its agents) will maintain a Plumbers' Club Account that records all valid orders ("Orders") for the relevant Promotion Period and the corresponding Plumbers' Coins that have accrued in connection with those Orders. Plumbers' Coins will be updated in the Plumbers' Club Account on a regular basis.

3.5 Products may be excluded from the Promotion at the discretion of Graham.

3.6 If an Order is cancelled by the Participant (even after the expiry of the relevant Promotion Period) the value of such Order shall be deducted from the Total Spend and the number of Plumbers' Coins accrued by the Participant shall be adjusted accordingly.

3.7 Graham reserves the right to discount or ignore an Order when calculating the Total Spend in the event that it has reason to believe that such Order is not genuine. Graham's decision as to which Orders will and will not count towards the Total Spend shall be binding on the Participant and final.

3.8 Graham (or its agents) may send the Participant and/or the Representative (if any) details of the current levels of the Total Spend and/or the current number of accrued Plumbers' Coins and the Participant and the Representative will be able to view the most recently updated figures for the Total Spend and the Plumbers' Coins in the Participant's Plumbers' Club Account by logging into the Website with the Participant's log-in details.

3.9 Graham and its agents reserve the right to correct any mistakes that are made in respect of the Total Spend and/or the number of Plumbers' Coins issued to the Participant but recommends that the Participant keeps records of its transactions so that it (or the Representative) can check that the information held is accurate. Any queries in connection with the number of Plumbers' Coins accrued should be presented in writing to the Plumbers' Club at the address set out at the end of these Terms and Conditions.

3.10 Incentives will be advertised on the Website and, subject to availability may be ordered at any time during the relevant Promotion Period (or within three (3) months of the end of the relevant Promotion Period), provided that the Participant has accrued sufficient Plumbers' Coins. Redeemed Plumbers' Coins cannot be used again and the Participant's Plumbers' Club Account balance will be reduced to reflect the number of redeemed Plumbers' Coins.

3.11 Plumbers' Coins cannot be redeemed until credited to a Plumbers' Club Account. In the event that a credit note or refund is issued to a Participant, or the Participant fails to pay to term for any goods purchased from Graham, Graham shall be entitled to subsequently reduce the number of Plumbers' Coins accrued to the Participant's Plumbers' Club Account or (if already redeemed) claw back the value of the relevant Plumbers' Coins either from future accruals of Plumbers' Coins or directly from the Participant in accordance with clause 12.

3.12 The Participant is the holder of its Plumbers' Coins and is responsible for their security. Graham are the overall owners of all Plumbers' Coins and they remain its property at all times, until redeemed by the Participant as the Plumbers' Club Account holder.

3.13 Participants are not eligible for any cash equivalent in return for their Plumbers' Coins or in lieu of receiving a particular Incentive.

3.14 The Participant cannot transfer, sell or use its Plumbers' Coins for any purpose except as permitted under these Terms and Conditions. If the Participant attempts to transfer Plumbers' Coins in any way that is not permitted by these Terms and Conditions Graham reserves the right to take such action against the Participant as it considers appropriate.

3.15 Dates on which the Incentives will take place will be available on the Website or otherwise confirmed by the relevant agent and/or Promotion Partner (as defined below).

3.16 Graham reserves the right to modify scheduling of any Incentives or the Promotion without prior notice at any time and for any reason.

3.17Graham further reserves it right to substitute any Incentive with an incentive/prize of equivalent value in the event of circumstances outside of its control.


4. Claiming an Incentive

4.1 Plumbers' Coins can either be redeemed against Incentives advertised and available on the Website or, subject to the prior approval of Graham, redeemed against the Participant's Graham Trade Account. For the avoidance of doubt, Plumbers' Coins cannot be redeemed against a Trade Account for any other brands of Jewson Limited or SGBD.

4.2 The Participant must submit an on-line redemption form via the Website for any Incentives that it wishes to claim. Redemption forms must be submitted before midnight on the 31st March immediately following the end of the relevant Promotion Period ("Longstop Date"). Plumbers' Coins not redeemed before the relevant Longstop Date will be forfeited and the Participant will not be entitled to any compensation or damages from Graham and/or its agents in connection with those forfeited Plumbers' Coins.

4.3 Certain Incentives are subject to limited availability and will be allocated on a strictly 'first come, first served' basis. Where a particular Incentive is dependent on a minimum volume of orders being placed the Participant acknowledges and understand that such Incentive may be withdrawn or cancelled by Graham (in its absolute discretion) and will only be provided if a sufficient number of customers sign up for that Incentive.

4.4 Despite the efforts of Graham and/or its agents, some Incentives advertised on the Website may have been attributed with an incorrect value (i.e. the number of Plumbers' Coins payable for that Incentive). If this is the case Graham will contact the Participant or the Representative (if any) and determine how best to proceed. For the avoidance of doubt, there will be no obligation on Graham to provide Incentives for the number of Plumbers' Coins advertised where such an error has been made, whether by Graham, an agent or any other third party.

4.5 The Participant acknowledges that transactions on which the Plumbers' Coins are redeemed may be made directly with third party merchants and/or suppliers (the "Promotion Partners") who may offer links to their websites via the Website ("Third Party Sites").

4.6 Graham is not responsible for Third Party Sites nor for any product information or services supplied through or in connection with such Third Party Sites.

4.7 Graham has no responsibility for the standard, quality or otherwise of any Incentives, goods or services received or supplied by a Promotion Partner or the failure of any Promotion Partner to honour a redemption.

4.8 Any dealings that the Participant, the Representative or the Nominee(s) (as defined below) may enter into with any Promotion Partner (or other third party) will be solely between them and that Promotion Partner (or other third party), including any transaction for the purchase of products from such Promotion Partners (or other third parties). All such dealings will be subject to the terms and conditions and privacy policies of such Promotion Partners (or other third parties) as are applicable to such transactions.

4.9 No change to an Incentive can be made by the Participant after it has been booked in accordance with the information submitted on the on-line redemption form.

4.10 If the Participant wishes to amend their Incentive in any way, such as extending their stay or adding additional travellers the Participant must state this when claiming their Incentive. Graham and their agents will endeavour to provide suitable arrangements and will require the Participant to pay any additional costs before such arrangements can be made.

4.11 The Incentive cannot be transferred, exchanged, sold or in any way traded.

4.12 For the avoidance of doubt, Incentives earned by a business holding a Trade Account shall be for the benefit of the named account holder and not any other individual. It is for the named account holder (i.e. the Participant) to nominate the person or persons who is/are to receive the Incentive ("Nominee(s)") at the time the on-line redemption form is submitted.

4.13 Any Incentives that individuals from the Participant's business receive are received purely in the capacity of an agent, acting on behalf of the Participant. It will be the responsibility of the Participant to determine who has access to the Promotion on its behalf and any decision entitling individuals to be the recipient of Incentives rests with the Participant and not with Graham.

4.14 Incentives shall only be permitted to go ahead if: (i) on the date of applying for the Incentive the Participant has no outstanding invoices attributable to the Promotion Period; and (ii) their Trade Account has not been suspended by Graham due to non-payment/legal issues.

4.15 The Participant agrees to make an individual participating in or receiving an Incentive on its behalf aware of these Terms and Conditions.

4.16 All persons attending, participating in or receiving an Incentive may be required to enter into a waiver of responsibility and by attending, participating in or receiving an Incentive, such individuals agree to be bound by these Terms and Conditions and the terms and conditions of the relevant Promotion Partner.

4.17 Subject to clause 4.2, if a transaction on which Plumbers' Coins are redeemed is cancelled, reversed or not completed by a Promotion Partner then, where appropriate, Graham will reverse the associated Plumbers' Coins movement when instructed by the relevant Promotion Partner.


5. Liability

5.1 Subject to clause 5.2:

5.1.1 Graham shall under no circumstances whatsoever be liable to the Participant (or any individuals selected by the Participant to receive an Incentive), whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any acts or failures of any Promotion Partner or other third party or for any loss of profit, or any indirect or consequential loss arising under or in connection with the Promotion or the participation in the Promotion of any Participant or any individual selected by the Participant to receive an Incentive; and

5.1.2 Graham accepts no responsibility for any loss or damage caused by the negligence of Graham, its servants or agents out of or in connection with this Promotion except where caused by wilful neglect of Graham, its employees or agents.

5.2 Nothing in these Terms and Conditions excludes or limits Graham's liability for:

5.2.1 death or personal injury resulting from the negligence of Graham, its employees or agents;
5.2.2 fraud or fraudulent misrepresentation; or
5.2.3 any matter in respect of which it would be unlawful for Graham to exclude or restrict liability.

5.3 The Participant hereby agrees to release and to hold Graham (and its employees, officers, directors, agents, marketing partners and affiliates) harmless from any and all losses, damages, rights, claims and actions of any kind in connection with or arising from:

5.3.1 any breach of these Terms and Conditions by the Participant or any person it selects to receive the Incentive; and

5.3.2 the:

5.3.2.1 delivery of any Incentive;

5.3.2.2 acceptance of any Incentive;

5.3.2.3 use of any Incentive; and/or

5.3.2.4 misuse of any Incentive.

5.4 Graham recommends that the Participant obtains suitable insurance in respect of the attendance, participation or receipt of an Incentive by the Participant or any individual selected by it. Obtaining any such insurance is at the Participants discretion and is for its own account. Graham shall not be responsible for any such insurance.

5.5 Graham will not accept liability for changes to the venues or events due to decisions by the Promotion Partner of any Incentive. Graham reserves the right to change the venue and/or dates for an Incentive and/or the actual Incentive at any point and will provide an alternative venue, date and/or Incentives of equal value. Graham accepts no responsibility for any loss incurred as a result of these changes.

5.6 No cash equivalent shall be provided for the Incentives.

5.7 Graham undertakes to use reasonable efforts to ensure that its agents and its Promotion Partners maintain adequate email, internet and other communication links but is not otherwise responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible registrations; (ii) telephone, electronic, hardware, or software program, network, internet, or computer malfunctions, failures, delays or difficulties; (iii) errors in transmission; or (iv) deliveries of Incentives attempted but not received. If the Participant is disqualified, Graham, its agents and its Promotion Partners shall be under no obligation to publish this fact on the Website or anywhere else.


6. Taxes

6.1 The Participant acknowledges and agrees that accepting an Incentive may be subject to tax and/or National Insurance. The Participant shall be fully responsible for and shall indemnify Graham for and in respect of any VAT, corporation tax, income tax, National Insurance and social security contributions and any other liability, deduction, contribution, assessment or claim arising from or made in connection with receipt by the Participant or any individual selected by it of an Incentive. For further information the Participant should contact its nearest HMRC Office.


7. Termination

7.1 Graham reserves the right to amend, suspend or withdraw this Promotion or any Incentive in whole or in part at any time without prior notice or compensation.

7.2 Graham may terminate the Participant's participation in the Promotion and cancel or suspend any Plumbers' Coins in the Participant's Plumbers' Club Account by notifying the Participant and/or the Representative (if any) in writing if Graham reasonably believes that the Participant and/or the Representative:

7.2.1 has acted in a way that harms Graham, Saint-Gobain, any of its agents, the Promotion or any Promotion Partner;

7.2.2 has engaged in any illegal or fraudulent activities;

7.2.3 has collected or redeemed Plumbers' Coins dishonestly or in a way that breaks these Terms and Conditions;

7.2.4 has acted in a hostile, abusive or aggressive manner towards any of Graham's staff, any of its agents' staff or any of its Promotion Partner's staff;

7.2.5 has knowingly provided false or misleading information at any time in relation to the Participant's participation in the Promotion;

7.2.6 has breached or attempted to breach any of the terms relating to the Participant's Graham Trade Account or Plumbers' Club Account (including, but not by way of limitation, failing to pay its credit account with Graham to term);

7.2.7 has had a zero balance on its Plumbers' Club Account for a consecutive 6 month period.

7.3 In the event that the Participant's Plumbers' Club Account is withdrawn from the Promotion or is terminated at Graham's discretion the Participant's right to use any accumulated Plumbers' Coins will be forfeited and the Participant will not be entitled to any compensation or damages from Graham, its agents or any third party.

7.4 The Participant or the Representative can choose to withdraw the Participant's participation in the Promotion at any time by contacting the Promotion Administrator via the email address or telephone number referred to in clause 2.5 above. Any accumulated Plumbers' Coins not claimed by the date of withdrawal shall be forfeited and the Participant will not be entitled to any compensation or damages from Graham and/or its agents.


8. Competitions

8.1 From time to time Graham may run a competition for Participants in the Promotion. When this occurs, a list of the successful Participants, by first name and County, will be available from the Plumbers' Club, Saint-Gobain House, Binley Business Park, Coventry CV3 2TT.


9. Data Protection and Publicity

9.1 By participating in the Promotion, the Participant, and any Nominee(s) or other individual who accepts or agrees to receive any Incentive at the direction of the Participant, consent to:

9.1.1 Graham processing the Participant's and any such individual's data; and

9.1.2 the Participant's and any such Nominee's or individual's name, details and/or photographs appearing in publicity material or other events relating to the Promotion.

9.2 The Participant may be asked to participate in future publicity or PR activities, which may involve taking photographs. The Participant shall use it best endeavours to participate in such activities and procure that any Nominees or individuals selected by it to receive any Incentive participate in such activities.

9.3 The Participant understands and accepts that as a participant in the Promotion they will be sent regular updates by Graham on the status of their Plumbers' Club Account, including their level of spend, their target spend and the number of Plumbers' Coins accrued to date ("Account Updates"). Account Updates may also include information about Incentives that could be available to the Participant. Agreeing to receive Account Updates is a condition of taking part in the Promotion.

9.4 In addition to the Account Updates referred to above, the Participant agrees that Graham and/or its agents may use any information relating to the Participant provided by the Participant and/or the Representative (if any) in connection with the Promotion, or generated by Graham and/or its agents in connection with the Promotion, to market Graham's products to the Participant. Marketing information may be issued in various formats, including (but not be limited to) letters, emails and/or text messages.

9.5 Graham's Privacy Policy sets out the information that Graham will gather on Participants, Representatives and Nominees, how a Participant earns and redeems Plumbers' Coins, how this information will be used and who it may be shared with. Every Participant and Representative (if any) should carefully read the latest version of the Privacy Policy. If a Participant notifies Graham that they do not wish to receive marketing information referred to in clause 9.4 above from Graham, its agents and/or its Promotion Partners or be contacted by Graham, its agents and/or its Promotion Partners for promotional purposes, Graham will comply with such request and pass on any relevant request to the relevant agents and/or Promotion Partners.


10. Additional terms and conditions

10.1 The Incentives are supplied by Promotion Partners and the receipt of an Incentive by the Participant (or any individual selected by it) will be subject to such Promotion Partner's terms and conditions, which should be read carefully.

10.2 In addition to, or in conjunction with, these Terms and Conditions and the applicable terms and conditions of any Promotion Partners, the terms of Schedule 1 of these Terms and Conditions will apply to specific Incentives.


11. General Conditions

11.1 These Terms and Conditions replace all previous versions and are correct as at the date published. Graham reserves the right to amend these Terms and Conditions, the Website Terms of Use, the Privacy Policy, the Acceptable Use Policy and/or the Cookie Policy at any time. Participants who continue to participate in the Promotion following any such amendments will be considered to have accepted such updated documents.

11.2 Any advice or actions of Graham's staff, the staff of any of the agents or the staff of any Promotion Partners engaged in connection with the Promotion, that is contrary to these Terms and Conditions will not have the effect of amending these Terms and Conditions.

11.3 Graham (and its employees, officers, directors, agents, marketing partners and affiliates) shall not be in breach of these Terms and Conditions or be liable for any disruption to the Promotion or an Incentive, or any delay in performing or failure to perform, any of its obligations under these Terms and Conditions if such disruption, delay or failure results from events beyond the reasonable control of Graham and/or its agents.

11.4 Graham reserves the right to vary these Terms and Conditions or cancel the Promotion at any stage in the event of circumstances arising beyond its reasonable control.

11.5 The Promotion is a standalone promotion and does not amend normal terms and conditions of trading as between Graham and its customers, which will continue to apply.

11.6 No failure or delay by Graham to exercise any right or remedy provided under these Terms and Conditions or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.

11.7 No one other than Graham and the Participant, their successors and permitted assignees, shall have any right to enforce any of these Terms and Conditions.

11.8 Nothing in the Terms and Conditions is intended to, or shall be deemed to, establish any partnership between Graham and any of the Promotion Partners.

11.9 These Terms and Conditions, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, English law, and the English courts shall have exclusive jurisdiction over any proceedings in connection with these Terms and Conditions and the Graham Promotion.


12. Plumbers' Coin Policy

12.1 This Plumbers' Coins Policy should be read alongside the other terms and conditions set out above.

12.2 Plumbers' Coins will be issued by reference to the total amount spent by a participant in the Promotion ("Participant") via its Graham Trade Account and will only be issued in relation to products collected from a Graham branch or delivered by Graham to the Participant ("Qualifying Products"). Goods supplied directly from third party suppliers to the Participant shall not be taken into account for the purposes of calculating total spend or accrued Plumbers' Coins.

12.3 Subject to clauses 12.10 and 12.11 below, no Plumbers' Coins will be awarded until the Participant has at least achieved a Qualifying Spend (as defined below) of £12,000 during that calendar year of the Promotion ("Promotion Year"). Clauses 12.10 and 12.11 below deal with Participants who become Participants part way through a Promotion Year.

12.4 Subject to clause 12.3 above, Participants will earn Plumbers' Coins at a defined percentage ("Accrual Percentage") for any expenditure on Qualifying Products (excluding VAT and delivery costs) in any given Promotion Year ("Qualifying Spend").

12.4.1 In the case of existing customers of Graham who have held a Graham Trade Account for at least 12 months prior to becoming a Participant ("Existing Customers"), the Accrual Percentage is dependent on the proportion by which the Participant's Qualifying Spend for the current Promotion Year (pro-rated in accordance with clause 12.10 if relevant) has exceeded the Participant's Base Spend. For Existing Customers who are Participants from the beginning of the Promotion Year, their Base Spend shall be their Qualifying Spend for the previous calendar year or £12,000, whichever is greater. For Existing Customers who become Participants part way through the Promotion Year, their Base Spend shall be their Qualifying Spend for the corresponding period in the previous calendar year or £12,000 (pro-rated downwards by the appropriate percentage), whichever is greater. Precise details of how the Accrual Percentages are calculated for Existing Customers are set out in clause 12.5 below.

12.4.2 In the case of new customers of Graham or customers of Graham who have held a Graham Trade Account for less than 12 months prior to becoming a Participant ("New Customers"), the Accrual Percentage shall be calculated slightly differently.

12.4.2.1 In the case of New Customers who have held a Graham Trade Account for between 6 and 12 months prior to becoming a Participant, the Accrual Percentage (which shall be calculated in accordance with clause 12.5 below) is dependent on the proportion by which the Participant's Qualifying Spend for the current Promotion Year (pro-rated in accordance with clause 12.11.1 if relevant) has exceeded the Participant's Base Spend (which shall be calculated in accordance with clause 12.8.1 below).

12.4.2.2 For all other New Customers their Accrual Percentage shall be calculated in accordance with clause 12.5 below and their Base Spend shall be deemed to be the figure set out in clause 12.8.2 below (pro-rated in accordance with clause 12.11.2 if relevant).

12.4.3 Where a New Customer has held a Graham Trade Account for more than 12 months it will qualify as an Existing Customer in the next Promotion Year. For all Existing Customers, and all New Customers who have subsequently become Existing Customers, who continue to participate in the Promotion, the Base Spend shall be updated each year to reflect the previous calendar year's Qualifying Spend.

12.5 Subject to clause 12.10 below, the Accrual Percentages for all Participants shall be calculated as follows:

For the purpose of calculating the Accrual Percentage, only Qualifying Spend from the data of a becoming Participant to the end of the Promotion Year shall be taken into account.

12.6 Notwithstanding the contents of the foregoing table, where a Participant's Qualifying Spend equals or exceeds £200,000 in any year of the Promotion, the Accrual Percentage for the element of the Qualifying Spend at or exceeding £200,000 shall be capped at 0.25%.

12.7 For the avoidance of doubt, the Accrual Percentage is calculated so that if, for example, the Participant has a Qualifying Spend that is 130% of its Base Spend, it will accrue Plumbers' Coins as follows: 1% for the first 124.9% and 1.50% for the final 5.1%. (i.e. the 1.5% Accrual Percentage would not apply to the entire Qualifying Spend.)

12.8 Base Spend for New Customers will be calculated as follows:

12.8.1 Subject to clause 12.11.1 below, for New Customers who have held a Graham Trade Account for between 6 and 12 months prior to becoming a Participant ("Calculation Period") their Qualifying Spend during the Calculation Period will be pro-rated to a full 12 months and their Base Spend will be the greater of this figure or £12,000. For example if the Participant opened their Graham Trade Account 8 months prior to joining the Plumbers' Club and has spent £20,000 on Qualifying Products during that period their Base Spend will be £30,000 (20,000 divided by 8 = £2,500 per month. £2,500 x 12 = Base Spend of £30,000).

12.8.2 Subject to clause 12.11.2 below, New Customers who have held a Graham Trade Account for less than 6 months prior to becoming a Participant shall be set a Base Spend of £12,000.

12.9 As mentioned in clause 12.3, the general principle in this policy is that no Plumbers' Coins shall be awarded until the Participant has achieved a Qualifying Spend of at least £12,000 during the Promotion Year. In addition, as mentioned in clauses 12.4.1, 12.8.1 and 12.8.2, the Base Spend for each Participant shall be set at a figure that is no less than £12,000 for a full Promotion Year. (Clauses 12.9 and 12.10 modify these requirements (on a pro-rata basis) for Participants who only take part in the Promotion for part of a year.) For example, a Participant with a Qualifying Spend in the previous calendar year of £8,000 will be set a Base Spend of £12,000 for 2017. If they achieve a Qualifying Spend of £11,000 in 2017 they will accrue no Plumbers' Coins. If they achieve a Qualifying Spend of £12,000 in 2017 they will accrue 120 Plumbers' Coins (£12k @ 1%). If they achieve a Qualifying Spend of £14,000 in 2017 they will accrue 140 Plumbers' Coins (£14k @ 1%). If they achieve a Qualifying Spend of £18,000 in 2017 they will accrue 195 Plumbers' Coins (£14,999 @ 1%, £3,001 @ 1.5%).

12.10 As mentioned in clause 12.4.1 above, Existing Customers shall be entitled to accrue Plumbers' Coins in their first year as a Participant. Existing Customers who become Participants in the Promotion part way through a Promotion Year shall be entitled to participate in the Promotion and their Base Spend shall be adjusted as set out in this clause. If an Existing Customer participates in a full year of the Promotion then their Base Spend shall be calculated by Graham based on their Qualifying Spend for the previous calendar year. If an Existing Customer joins the Promotion part way through a Promotion Year then their Base Spend shall be calculated by Graham based on their Qualifying Spend for the previous calendar year but shall be revised downwards on a pro rata basis to take into account the duration of the Existing Customer's participation during that Promotion Year (rounded up to the nearest calendar month). For example, if an Existing Customer will only have participated in the Promotion for 7 months and 3 days by the end of that Promotion Year it shall be deemed to have participated for 8 calendar months and the Base Spend shall be revised down to 8/12 of the Existing Customer's Qualifying Spend for the previous calendar year.

12.11 As mentioned in clause 12.4.2 above, New Customers shall be entitled to accrue Plumbers' Coins in their first year as a Participant. New Customers who become Participants in the Promotion part way through a Promotion Year shall be entitled to participate in the Promotion and their Base Spend shall be adjusted as set out below (as appropriate):

12.11.1 If a New Customer who has held a Graham Trade Account for between 6 and 12 months prior to becoming a Participant participates in the Promotion then their Base Spend shall be calculated by Graham based on their Qualifying Spend for the Calculation Period (as detailed in clause 12.8.1 above). The Base Spend shall then be revised on a pro rata basis to take into account the duration of the New Customer's participation during that Promotion Year (rounded up to the nearest calendar month). For example, if the New Customer will only have participated in the Promotion for 7 months and 3 days by the end of that Promotion Year it shall be deemed to have participated for 8 calendar months and the Base Spend shall be revised down to 8/12 of the figure that would have applied had the New Customer participated from the very beginning of that Promotion Year.

12.11.2 If a New Customer who has held a Graham Trade Account for less than 6 months prior to becoming a Participant joins the Promotion part way through a Promotion Year then their deemed Base Spend (as referred to in clause 12.8.2 above) shall be revised on a pro rata basis to take into account the duration of the New Customer's participation during that Promotion Year (rounded up to the nearest calendar month). For example, if a New Customer has participated in the Promotion for only 7 months and 3 days it shall be deemed to have participated for 8 calendar months and the deemed Base Spend shall be revised down to 8/12 of the figure referred to in clause 12.8.2 above, so the New Customer would be set a Qualifying Spend of £8,000 - £9,999 to become entitled to an Accrual Percentage of 1.0%, a Qualifying Spend of £10,000 - £13,999 to become entitled to an Accrual Percentage of 1.5% (on spend above £9,999) etc). (Note that the general principle in this policy is that no Plumbers' Coins shall be awarded until the Participant has achieved a Qualifying Spend of at least £12,000 during the Promotion Year. For New Customers who have held a Graham Trade Account for less than 6 months this principle still applies but the minimum Qualifying Spend is pro-rated downwards – so in the example above the minimum Qualifying Spend would be £8,000, meaning that the New Customer would not access the 0.5% Accrual Percentage and would go straight to the 1.0% Accrual Percentage once a Qualifying Spend of £8,000 had been achieved.)

12.11.3 Subject to clauses 12.12 and 12.13 below, the number of Plumbers' Coins to be issued will be calculated by Graham (or its agents) as soon as reasonably practicable. Plumbers' Coins will be credited to the Participant's Plumbers' Club account within a reasonable time of the Participant's allocation being determined by Graham.

12.12 Adjustments will be made to the number of Plumbers' Coins issued if any subsequent returns, refunds or credit notes take a Participant's Qualifying Spend below a particular Accrual Percentage threshold. For the purposes of calculating the number of Plumbers' Coins to be issued:

12.12.1 the Qualifying Spend will be rounded down in all cases;

12.12.2 Plumbers' Coins will not be allocated on a pro-rata basis; and

12.12.3 the Qualifying Spend will not include VAT or any delivery costs incurred.

12.13 Plumbers' Coins will be deemed to have been issued on the date on which the new balance is displayed on the Promotion Website.

12.14 In the event that a credit note or refund is issued to a Participant, or the Participant fails to pay to term in relation to any Qualifying Products forming part of the Qualifying Spend, the Participant's Qualifying Spend and its entitlement to Plumbers' Coins will be reduced accordingly. If Plumbers' Coins have already been issued on the basis of the subsequently reduced Qualifying Spend, Graham (or its Promotion Partner(s)) may, amend the balance of the Participant's Plumbers' Coins accordingly. In the event that the Plumbers' Coins have already been redeemed by the Participant before this adjustment has been made, Graham (or its Promotion Partner(s)) shall be entitled to:

12.14.1 prevent the Participant from redeeming any further Plumbers' Coins in the current Promotion, or any future edition of the Promotion, until the value of the deficit (as determined by Graham, acting reasonably) has been reclaimed; or

12.14.2 where it has reason to believe that any deficit will not be reclaimed in full in accordance with clause 14.1 above, require the Participant to reimburse Graham for the value of the deficit (as determined by Graham, acting reasonably).

12.15 No third party or joint registrations for the Promotion will be accepted, and only one registration per Participant will be accepted. Connected companies shall be deemed to be the same as the Participant to which they are connected, and deemed duplicate accounts dealt with accordingly. Graham reserves the right to refuse, merge or close additional Plumbers' Club accounts at any time.

12.16 Graham reserves the right to amend this Policy in whole or in part at any time without prior notice or compensation to the Participant.

12.17 Any Plumbers' Coins earned will expire 15 months after the relevant promotional period ends. For example, any Plumbers' Coins earned in 2016 will expire on 31st March 2018.

12.18 In 2017, if a Participant has the same Qualifying Spend as it had in 2016 but earns fewer Plumbers' Coins than it earned in 2016, we will issue the appropriate number of additional Plumbers' Coins to match the Plumbers' Coins that they earned for 2016. In order to qualify for this "coins matching" offer a Participant must be an Existing Customer and must have participated in the 2016 edition of the Promotion. For such Existing Customers who did not participate for the full 12 months of the 2016 edition of the Promotion their comparative Qualifying Spend will, for the purposes of calculating any matching Plumbers' Coins under this clause, be pro-rated upwards to a full 12 months and (if appropriate) Plumbers' Coins will be matched accordingly.

Example: A Participant with a Base Spend of £20,000 for 2016 who had £35,000 of Qualifying Spend for that year would have received 387 Plumbers' Coins. In 2017 their Base Spend would be set at £35,000 and they would need to achieve a Qualifying Spend of £17,500 for silver level, £35,000 for gold level, and so on. If they were to achieve a Qualifying Spend of £35,000 for 2017 they would receive 350 Plumbers' Coins (based on the formula set out in clause 12.5 above). We would top this up with the difference of 37 Plumbers' Coins meaning that the Participant does not lose out under the new formula in clause 12.5 compared to 2016.

The Participant's statutory rights are not affected by any of the above Terms and Conditions.

Schedule 1 – Additional Terms

1. Incentives involving overseas travel will require each traveller to have, at their own cost, a valid passport and any visa that they may require.

2. When the Incentive involves air travel the individuals due to receive the Incentive will be responsible for any costs accrued for airport parking, airport hotels and any other ancillary costs.

3. If the Incentive includes a trip or a holiday, it is the responsibility of the main traveller to ensure that s/he and his/her family or travel companions who are accompanying them on the trip all have the necessary travel insurance, any recommended inoculations or other medical precautions and visas/passports. Graham or any suppliers linked with the Promotion will not be held responsible for the travellers having inadequate travel insurance or being unable to travel through not having the necessary passport or visa.

4. If the Incentive includes a trip, a holiday or any other type of accommodation, restrictions may be imposed as to when that Incentive may be taken and will be advised at the time the Incentive is claimed.

5. Graham cannot be held responsible for any travel or banning restrictions imposed by the UK police, borders agency or courts in relation to any individuals due to receive the Incentive.

6. Those participating in motor-based Incentives (cars/bikes, on/off road, official track) must hold a current full and valid UK driving licence.

7. Expenses incurred during or as a result of participation in any of the Incentives which are not specifically stated to be included in the Incentive are not included in the Incentive and shall be for the Participant's own account. For example:

a. Unless otherwise stated, Participants will be responsible for arranging and providing their own means of transportation to and from an Incentive.

b. Transfers to and from UK mainland airports or the venue where an Incentive is to take place are not included in the Incentive itself. For the avoidance of doubt, Participants located outside the UK mainland are responsible for their own transfer to the UK mainland or the venue where an Incentive is to take place. Economy class flights from a mainland UK airport are included in an Incentive only where stipulated.

c. In the event of any dispute, the decision of Graham and its appointed representatives is final in all matters and no correspondence shall be entered into.

8. Where a reward is being delivered to you by post or by courier this will normally take 21 days at most from the date of your claim and we will contact you in the unlikely event of a delay beyond that. If you have not received your reward within 21 days of your claim please notify us immediately by email or by phone as we may be unable to trace any items reported more than 28 days after your claim. Please also open and check your package immediately on delivery as any missing or damaged items must be notified to us within 48 hours of delivery if any claim for replacement is to be considered.
